If you look on rangerovers.net you'll threads about it.

The headlights do not follow the bonnet lip profile and thus look odd.

I read up on this before I bought mine. I considered doing this but then decided to leave alone. From what I understand the light housings need to be trimmed to fit in the same space as the P38 units. There is also some modification needed to get them electrically connected - I seem to recall seeing an L322 to P38 wiring adaptor on ebay for this purpose.

From what I recall, there is also an issue with the automatic levelling. Either the L322 units don't have it, or they do and it will not work (cannot remember which).

Most of the conversions that I've seen pics of also change out the grille too. This is also a fair amount of work as I believe they are physically longer and require trimming and refinishing. Best grille I saw was one where the owner had drilled holes in the stock P38 grille to make it resemble a sport. It looked pretty good, but lots of work, and I can only imagine that if I tried it I would mess it up on the second from last hole - lol

Whilst I like the front light conversion - the rear light conversion looks like dog doo. And the only light that seem to be available are the kits mentioned previously.

Best front conversion is the one where the front bumper is also changed, but add the cost of this conversion + L322 wheels + Rear conversion to the cost of a P38 and you're practically in L322 territory.
