The gearboxes are a straight swap with the following provisos:-
Clutch arrangement is different - either swap bell housing etc or swap clutch mechanism along with the gearbox.
Six cylinder and four cylinder bell housings are different.
I think you can swap the S2a and S3 bell housings, but there may be some issues - maybe someone else can confirm this.
The ratios, mounts, dimensions etc are all the same between the boxes apart from the above. I assume you are aware that the S2a box only has synchromesh on third and fourth, but is generally considered to be more robust than the S3 box.
As you say, there may be a spline number problem with the S3, but the SWB only changes to 24 spline late in production, so there may not be a problem unless it is a late one (or unless either vehicle has had the front axle swapped!)
