What is the better processor to have

    This

    Intel Core2 Duo 2.4GHz P8600

    or this

    Mobile Intel Core i3-330M Proc (2.13GHz, 1066MHz FSB, 3MB L2 cache)

I found a 13.3 toshiba I really like but I have found it with both options..

the one with the Intel duo has 4g ram and 400g hard drive....Comes in at $1199 <<<<<I reckon I could get this down though

the one with i3 has 2g ddr3 ram expandable up to 8g with 320g hard drive $959.70

Both come with windows 7 and xp downgrade.

    Thoughts?

The core2 will have a slower bus speed and at best ddr2 ram. All up slower. The clock speed of the processor isn't as "significant" as before. 2GB of RAM with expansion to 8GB is going to provide more room for growth than a 4GB RAM. But I'd be putting in 4GB anyway. If the 320GB HDD is a faster rpm than the other one it will most likely also have more cache and this with the faster spindle will improve speed too.

The i3 processor is a newer design and will be the faster and more efficient unit than the core2 duo. It should also be less hungry on the laptop battery so you should get longer running times. If it was me I'd go for the i3 and boost the RAM to 4Gb. This would be a better system IMHO. My 2c worth anyway.

Most (if not all) systems come with the newer operating system.

Microsoft offer an XP downgrade for business users mainly that run in an XP environment.

It just means that your system runs XP instead of the newer operating system

    not quite

in my experience the older they get the more power they drag, to a much greater extent than the intel cpu's.
