Not difficult but takes a bit of time. If A/C is fitted in passenger footwell then it might up the degree of mongrel in the job.

Disconnect both heater control cables (one on top and one down driver's side of heater box)
Disconnect two heater hoses that run into top of matrix
Remove vent in passenger side guard top
Remove the plastic tube thingo that sits under that and runs into the heater box (might need to remove windscreen washer bottle and bracket to get this out)
Remove two bolts that bolt top of heater box to bulkhead
Remove two smaller nuts and bolts that bolt bottom of heater box through bulkhead (these are the ones that might be difficult if a/c is there) although from memory you can just get to them.
Undo wiring that runs into heater box (usually sits between box and guard) at the plugs. Are a couple there from memory.
    Remove heater box
Undo all of the small screws that hold the matrix in place, remove the bits of tin ware that will now be loose. I recall there being a bracket at the base of the matrix that should come off as well (fixed bolt and nut) or three.
    Remove matrix
Be careful to replace any padding that was in place when you replace the matrix.
Reverse the above to install new matrix and heater box back in vehicle.

While you have it out, you may as well replace the foam seals on the internal flaps. It has been a while, but I'm sure I used some generic self adhesive foam rubber seal from clark rubber.
For the two small bolts with nuts down the bottom, I replaced them with larger bolts and forced them into the existing holes, cutting a new thread. I figured there was no need for the nuts on the inside as it was a painfull experience removing them.

I replaced the foam on mine with some EVA sticky back foam strip from Clark Rubber. Also fitted two riv nuts to replace the small nuts and bolts at the bottom. Should be an easy job now if I have to do it again. As said, painful.
