Mate all autos are dying from the moment they are born.
There will be "some" clutch material every time you do an oil change.
Its the orange/brown slushy stuff in the sump.
But a little bit is normal, a lot ( or lumps) is a problem.
It sounds like the governor is sticking while cold in the poster's car, which is due to stuff going through the filter and clogging it.
This is normally due to infrequent or no oil changes since new, and once it gets to that stage a reconditioned one is the best answer.
If you look on Ashcroft's site he says that.
I am not sure whether the transmission is the same V8 to diesel but I think there are several differences in bellhousing, torque converter stall, and valving , and this makes it a no go.

All clutches wear, in an Auto the fine particles from the clutch friction material end up in the oil, the filter is there to filter out the particles. If the oil is dirty it doesn't mean the box is stuffed, new oil and filter will work wonders, so usually unless the clutches are slipping it is not a massive problem, Regards Frank.
Best thing as already mentioned is get a service done on the trans, make sure the kickdown cable isn't TOO tight, and use a good quality ATF.
IF it is holding first gear on a cold start, then yes suspect a governor issue, which CAN lead to an overhaul eventually as the governor problems can be related to excessive clutch material in the oil.
I would however always service it first, then see how it goes.
Be very wary of second hand ZF tdi boxes unless they can be tested before purchase.

I had the exact same problem with my 94 ES V8, gears were sticking until warm. Had it reco'd by a horrible mechanic, $3k later... Gears were slipping, governor was sticking until the day a I bought a new BT50 it died in the middle of an intersection. When they pulled apart the gearbox it was pretty trashed. If you do get it reconditioned find a reputable mechanic who will do it.
As for another gearbox, I've been reading about this all morning. The V8 gearboxes are tuned for the higher rev range of the V8, so you'd need to do more work on the gearbox before bolting it onto a TDi engine.

In the short term warm up the gear box for 1 or 2 min in drive before you drive off![]()
IMHO a 2nd hand ZF is not worth the money.
As others have said, give it a service, then save up and shop around for a rebuilt box.
